Terms of Service

These Terms of Service ("Terms") govern the business relationship between Anffo (Anvoya) Commodity Manufacturing Limited ("Company", "we", "us", or "our") and our business partners ("Partner", "you", or "your"). By engaging in any business relationship with us, you agree to be bound by these Terms.

Anffo specializes in human-grade safety engineering for pet travel products, including our flagship 3-in-1 ISOFIX Pet Travel System. We offer partnership opportunities including distribution agreements, OEM/ODM services, and exclusive territory arrangements.

3.1 Quality Assurance: All products manufactured in our Ningbo facility under ISO quality management systems with automotive-grade engineering standards.

3.2 Materials: HDPE (High-Density Polyethylene) and other automotive-grade materials ensuring crash-tested safety performance.

3.3 Testing & Compliance: Products undergo rigorous testing including crash simulation and comply with relevant safety standards where applicable.

3.4 Production Timeline: Standard lead times range from 15-45 days depending on order volume and customization requirements.

4.1 Pricing Structure: Wholesale pricing based on volume tiers, partnership level, and territorial exclusivity arrangements.

4.2 Payment Terms: Standard payment terms of 30% deposit with balance due before shipment. Established partners may qualify for extended terms.

4.3 Currency: All transactions conducted in USD unless otherwise specified in individual agreements.

4.4 Price Adjustments: Prices subject to change with 30-day written notice, excluding confirmed orders.

5.1 Product Warranties: Manufacturing defects covered for 12 months from date of manufacture. Warranty excludes misuse, normal wear, or improper installation.

5.2 Safety Standards: Products designed to exceed industry standards, but partners responsible for ensuring local regulatory compliance and proper end-user education.

5.3 Limitation of Liability: Company liability limited to product replacement or refund. Partners assume responsibility for proper distribution, installation guidance, and end-user support.

5.4 Insurance Requirements: Partners encouraged to maintain appropriate product liability insurance coverage for their market activities.

6.1 Trademarks: "Anffo" and "Anvoya" are registered trademarks. Partners granted limited usage rights for authorized sales activities only.

6.2 Technology License: ISOFIX integration technology and safety engineering remain proprietary to Anffo. Usage rights granted only within scope of partnership agreement.

6.3 Confidentiality: Partners agree to maintain confidentiality of proprietary information including pricing, manufacturing processes, and technical specifications.

6.4 Custom Developments: IP ownership for custom OEM/ODM projects defined in individual development agreements.

7.1 Exclusive Rights: Territorial exclusivity granted based on minimum volume commitments and performance metrics.

7.2 Performance Standards: Exclusive partners must maintain agreed sales targets and market development activities.

7.3 Territory Protection: Company commits to not directly compete within exclusive partner territories during agreement term.

7.4 Online Sales: E-commerce and online marketplace activities subject to territorial agreements and brand protection policies.

8.1 Termination Rights: Either party may terminate with 90-day written notice, subject to fulfillment of existing orders.

8.2 Breach of Terms: Immediate termination rights for material breach including non-payment, unauthorized use of IP, or violation of exclusivity terms.

8.3 Post-Termination: Partners may sell remaining inventory for 180 days but must cease all marketing and promotional activities.

8.4 Return of Materials: All proprietary information, marketing materials, and confidential data must be returned or destroyed upon termination.

9.1 Governing Law: These Terms governed by the laws of the People's Republic of China, with disputes subject to arbitration in Ningbo.

9.2 Amendments: Terms may be updated with 30-day notice to active partners. Continued partnership constitutes acceptance of revised terms.
